Data Processing & Consent Agreement
What you authorize when you connect your store to Argus — and the choices and rights that come with it.

This Data Processing & Consent Agreement (this “Agreement”) supplements the Terms of Service, Privacy Policy, and Disclaimers between you and Argus Vision, Inc. (“Argus,” “we,” “us”). It describes what you authorize Argus to install, access, collect, process, and store when you connect your store, and the responsibilities and rights that come with it. You accept this Agreement by checking the box at signup. If you are accepting on behalf of a business, you represent that you are authorized to bind that business (“you,” “Customer”).

1. What You Are Consenting To
In plain terms, by accepting this Agreement you authorize Argus to:
- Provide software — including a downloadable Argus streaming agent — that you install on your systems and that accesses them to stream camera feeds and connect your tools to Argus.
- Connect to and receive data from your security cameras, point-of-sale (POS) systems, and store-management systems, which you represent you are authorized to connect.
- Collect, process, and store video — including footage of suspected theft events and the individuals who appear in it — along with all associated metadata (timestamps, camera and store identifiers, detections, register and transaction data, device and connection details, and analytics derived from the above).
- Use that data to operate and improve the Service, subject to the Privacy Policy and this Agreement.
You may withdraw access at any time by disconnecting your systems and closing your account (see Section 9), though that does not undo processing already performed.
2. The Argus Agent & System Access
To use core features you may download and install the Argus streaming agent (the “Agent”) on computers, network video recorders, or other devices you control. You authorize the Agent to run on those systems and to access them as needed to: discover and connect to your cameras and devices; capture and stream video and related signals to Argus; maintain connectivity, configuration, and health; and receive updates.
You authorize this access only for operating the Service. The Agent is not intended to access files, communications, or applications unrelated to the Service. You are responsible for installing the Agent only on systems you own or are authorized to administer, and for the security of those systems. You may uninstall the Agent at any time to revoke its access.
3. Connected Systems & Integrations
The Service integrates with your security cameras, POS, and store- or business-management systems, and may integrate with other tools you enable. When you connect a system, you represent and warrant that:
- you own or are authorized to connect that system and to grant Argus access to the data it makes available;
- you have provided any notices and obtained any consents that the law requires from the people whose data flows through that system — including your employees and your shoppers (see Section 8); and
- your use of the connected data through Argus complies with applicable law and with that system provider’s terms.
Audio is off by default. The Service captures video only unless you explicitly enable audio. Because many states make it a crime to record a conversation without the consent of all parties, you will not enable audio capture unless you have obtained every consent those wiretap and eavesdropping laws require. You also will not aim cameras at, and will configure them to exclude, areas where people have a reasonable expectation of privacy — such as restrooms, locker rooms, and fitting rooms.
4. Data We Collect & Process
Depending on what you enable, Argus collects and processes, among other things: live and recorded video and images from your cameras; clips and stills of detected events, including suspected theft, which may be retained as evidence; POS and transaction data; device, network, and configuration data from the Agent and connected systems; and the metadata and analytics we derive from all of the above (for example, detections, counts, timestamps, locations, and model outputs). Collectively this is your “Customer Data,” which you own as described in the Terms of Service.
5. Video of People & Biometric Data
Because the Service analyzes camera footage, the data it collects will include images of identifiable people — your employees, your shoppers, and others who enter view — including in saved theft clips.
Facial-recognition and other biometric-identification features are off by default. They operate only if you affirmatively enable them. Where they are not enabled, the Service does not create or store facial-geometry templates to uniquely identify individuals, and you can run loss prevention without them.
If you enable biometric features, several laws regulate them closely — notably Illinois’s Biometric Information Privacy Act (740 ILCS 14), Texas’s Capture or Use of Biometric Identifier Act, and comparable laws — and may require, before any biometric identifier is captured, written notice of the collection and its purpose and a written release from each person. You are responsible for obtaining those biometric consents and giving those notices, and you must not enable biometric features where you have not. For its part, Argus will use biometric data only as you direct, will not sell or profit from it, will limit disclosure as required by law, and will retain and destroy it on a published schedule. 6. Use, Storage & Retention
We use Customer Data to provide, secure, support, and improve the Service, and as otherwise described in the Privacy Policy. We store Customer Data — including saved event clips and metadata — using reputable cloud infrastructure and retain it for as long as your account is active or as needed to provide the Service, resolve disputes, and meet legal obligations, after which we delete or de-identify it on a rolling basis. You can request deletion as described in Section 9. Retention windows for specific data types will be detailed as the Service matures. [Retention periods subject to confirmation.]
7. Roles: Controller & Processor
As between the parties, you are the controller of the personal data captured at your locations, and Argus acts as your processor / service provider, handling that data on your behalf and on your documented instructions to provide the Service. We do not sell Customer Data. A Data Processing Addendum (DPA) governs this relationship and is incorporated by reference; where the DPA conflicts with this Agreement on the processing of personal data, the DPA controls. 8. Your Responsibilities
You are responsible, in particular, for:
- Operating cameras and recording equipment lawfully, and posting any required surveillance, video-monitoring, or recording notices at your locations.
- Giving your employees and shoppers any notice — and obtaining any consent — that the law requires for the monitoring, recording, and processing Argus performs on your behalf, including any biometric consent.
- Complying with all applicable surveillance, wiretap/audio-recording, privacy, biometric, and employee-monitoring laws everywhere you operate.
- Responding, as the controller, to requests from individuals about their data, with our reasonable assistance (see Section 9).
- Using detections and analytics as decision support only, with qualified human review before any consequential action — see Section 10.
9. Data Rights & How to Exercise Them
You may request a copy of, or the deletion of, your Customer Data — and you can disconnect your systems or close your account — at any time by emailing privacy@useargus.co. We will act on verified requests within a reasonable time and as required by law.
Individuals whose data appears in the footage (such as your employees or shoppers) may have rights under applicable privacy laws — including to access, obtain a copy of, correct, or delete their personal data, and to portability. Because you are the controller, such requests are generally directed to you; as your processor, Argus will provide reasonable assistance to help you locate, export, or delete the relevant data, including saved theft clips and the associated metadata, subject to legal limits (for example, where we must retain certain records). Honoring a deletion request may end the availability of features that depend on the deleted data.
10. AI Accuracy & No Reliance
The Service’s detections, alerts, and analytics are probabilistic and assistive. They may be incomplete or incorrect, including false positives and false negatives in theft and other detections. They are intended to support human decision-making, not replace it. You agree not to rely solely on Argus or its AI outputs for employment, security, law-enforcement, accusatory, or other consequential decisions, and to have a qualified person review any detection before acting on it.
11. Security & Breach
Argus maintains administrative, technical, and organizational safeguards designed to protect Customer Data appropriate to its sensitivity, including encryption in transit and access controls. No method of transmission or storage is perfectly secure. We will notify you of a security incident affecting your Customer Data without undue delay — targeting notice within 72 hours of confirming the incident [clock subject to counsel/DPA confirmation] — so you can meet your own notification deadlines.
12. Disclaimers & Liability
The Service is provided “as is” and “as available” without warranties of any kind, as described in the Terms of Service and Disclaimers, which are incorporated here by reference. The limitations of liability and indemnification in the Terms of Service apply to this Agreement.
13. Acknowledgement & Consent
By checking the consent box at signup, you confirm that:
- you are authorized to act for, and to bind, your business;
- you authorize the Argus Agent and the system access, integrations, and data collection, processing, and storage described above — including the recording and storage of video that contains identifiable people and of saved theft footage and metadata;
- you are responsible for giving the notices and obtaining the consents the law requires from the people recorded or monitored at your locations; and
- you have read and agree to this Agreement together with the Terms of Service, Privacy Policy, and Disclaimers.
Your acceptance is recorded with your account, including the date and the version of this Agreement in effect at the time.
